นายณัฐพงศ์ หิรัณยศิริ ประธานเจ้าหน้าที่บริหาร บริษัท แม่ทองสุกเซ็นทรัล จำกัด เปิดเผยว่า กลุ่มบริษัท ในเครือ เอ็มทีเอส โกลด์ (แม่ทองสุก) มีการนำเทคโนโลยีบล็อกเชนมาใช้เป็นโครงสร้างพื้นฐานมาตั้งแต่ปี 2563 และในโอกาสครบรอบ 74 ปีของกลุ่มบริษัทฯ การพัฒนาโครงการ MTS Gold Investment Token จึงเป็นความตั้งใจของแม่ทองสุกเซ็นทรัลที่ต้องการนำเสนอทางเลือกใหม่ในการลงทุนในธุรกิจค้าทองคำแท่ง โดยในช่วงที่ผ่านมาบริษัทเล็งเห็นแนวโน้มความต้องการทองคำแท่งที่มีการซื้อขายและส่งมอบจริง (Physical Gold Bar) เติบโตสูงขึ้นอย่างต่อเนื่อง จึงพัฒนาโครงการผ่านโทเคนดิจิทัลที่มีรูปแบบที่ยืดหยุ่น เพื่อเปิดโอกาสให้ผู้ที่สนใจมีทางเลือกในการลงทุนในธุรกิจซื้อขายทองคำแท่งได้ง่ายขึ้น โดยบริษัทใช้ระบบบริหารจัดการสินค้าคงคลังอย่างมีประสิทธิภาพและหลักธรรมาภิบาลในการดำเนินธุรกิจตามแนวปฏิบัติที่ยึดถือมาอย่างต่อเนื่อง เป็นกลไกสำคัญในการดำเนินโครงการ

โครงการ MTS Gold Investment Token ถูกออกแบบให้เป็นโทเคนดิจิทัลเพื่อการลงทุนที่เชื่อมโยงกับธุรกิจค้าทองคำแท่งที่มีการซื้อขายและส่งมอบจริง (Physical Gold) ผ่านสาขาของ “ห้างทองแม่ทองสุก” ซึ่งปัจจุบันมีทั้งหมด 13 แห่งในกรุงเทพและปริมณฑล พร้อมมีแผนยุทธศาสตร์ในการขยายสาขาสู่หัวเมืองใหญ่ทั่วประเทศในอนาคต เพื่อเพิ่มขีดความสามารถในการเข้าถึงและรองรับความต้องการของผู้บริโภคได้อย่างครอบคลุม โดยโครงการวัตถุประสงค์ในการระดมทุนเพื่อนำไปใช้ในการซื้อทองคำแท่ง 96.5% เพื่อเป็นสินค้าคงคลังสำหรับการดำเนินธุรกิจ (ในสัดส่วนไม่น้อยกว่า 90% ของเงินระดมทุน) และใช้เป็นเงินทุนหมุนเวียนของกิจการ (ในสัดส่วนไม่เกิน 10% ของเงินระดมทุน) ซึ่งสะท้อนโครงสร้างการใช้เงินที่เชื่อมโยงกับธุรกิจหลักของบริษัทอย่างชัดเจน พร้อมทั้งมีกลไกบริหารจัดการความเสี่ยงและการกำกับดูแลตามที่ระบุไว้ในหนังสือชี้ชวน  ซึ่งมีรายละเอียดของโครงการที่อยู่ในการพิจารณาของสำนักงาน ก.ล.ต. โดยสรุปดังนี้

• ราคาเสนอขาย: 1,000 บาทต่อโทเคน (จองซื้อขั้นต่ำ 10 โทเคน หรือ 10,000 บาท)
• ระยะเวลาโครงการ: 3 ปี ในรูปแบบการลงทุนประเภทถือครองจนครบกำหนด (Buy and Hold) โดยจะไม่มีการนำโทเคนดิจิทัลเข้าจดทะเบียนในศูนย์ซื้อขายสินทรัพย์ดิจิทัล
• โครงสร้างผลตอบแทน ผู้ถือโทเคนดิจิทัลมีสิทธิที่จะได้รับผลตอบแทน 2 ส่วน ได้แก่

(1) ผลตอบแทนคงที่: ในอัตรา 3.00% ต่อปี

(2) ผลตอบแทนพิเศษ: มีโอกาสรับผลตอบแทนพิเศษ หากราคาขายทองคำเฉลี่ยเมื่อปิดโครงการสูงกว่าราคาซื้อทองคำถัวเฉลี่ยเมื่อเริ่มโครงการ ทั้งนี้เงื่อนไขเป็นไปตามที่ระบุไว้ในหนังสือชี้ชวน

• เกณฑ์การลงทุน: นักลงทุนรายย่อยสามารถลงทุนได้ไม่เกิน 300,000 บาท สำหรับนักลงทุนรายใหญ่และนักลงทุนรายใหญ่พิเศษสามารถลงทุนได้ไม่จำกัด โดยสามารถยื่นเอกสารสมัครสถานะนักลงทุนรายใหญ่/รายใหญ่พิเศษ ได้ทางแอป kubix

ทั้งนี้โครงการยังอยู่ในขั้นตอนการพิจารณาอนุมัติจากสำนักงาน ก.ล.ต. และรายละเอียดโครงการอาจมีการเปลี่ยนแปลง

Mae Thong Suk Central has formally submitted the application to offer the MTS Gold Investment Token, Thailand’s first investment token for the gold bullion trading business, to the Securities and Exchange Commission (SEC) on April 10, 2026. The total fundraising value does not exceed THB 2,000 million, and the subscription period is expected to open by early Q3 of this year.

Marking the Group’s 74th anniversary, the MTS Gold Investment Token project reflects Mae Thong Suk Central’s commitment to offering a new investment alternative in the gold bullion sector. The company has observed sustained and growing demand for physical gold bar transactions involving actual delivery; consequently, the project was developed through a digital token with a flexible format to provide interested investors with an easier way to access the gold bullion business. The MTS Gold Investment Token is designed as an investment token linked to the gold bullion trading business, involving the actual purchase and delivery of physical gold through Mae Thong Suk branch network of 13 branches across Bangkok and the greater metropolitan area. The company also has a strategic plan to expand into major cities nationwide to increase accessibility and support consumer demand. Proceeds from the fundraising will be allocated primarily toward the procurement of 96.5% gold bars as operational inventory (representing no less than 90% of total funds raised), with the remainder designated as working capital (representing no more than 10% of total funds raised). This reflects a clear capital structure linked to the company’s core business, supported by risk management and governance mechanisms as detailed in the prospectus. Key project details currently under SEC review are summarized as follows:

• Offering Price: THB 1,000 per token (minimum subscription of 10 tokens, equivalent to THB 10,000)
• Project Term: 3 years, structured on a Buy and Hold basis. The digital tokens will not be listed on any digital asset exchange.
• Return Structure: Token holders are entitled to two parts of returns
  1. Fixed Return: at a rate of 3.00% per annum.
  2. Special Return: a contingent return payable in the event that the average gold selling price at project close exceeds the average gold purchase price at project inception. Full terms and conditions are as specified in the prospectus.
• Investor Eligibility: Retail investors may invest up to THB 300,000. High-Net-Worth and Ultra-High-Net-Worth investors have no investment limit. Status verification can be completed via the Kubix app.
